What is a DIN number for company directors in India?

Quick answer: A din number (Director Identification Number) is the unique 8-digit identity every individual needs before joining the board of an Indian company. It’s allotted under sections 153 and 154 of the Companies Act, 2013, stays with the person for life, and one person may hold only one. Directors confirm their details through DIR-3 KYC.

  • Proposed directors of a new company get their DIN inside SPICe+, for up to three directors.
  • A person joining an existing company applies on Form DIR-3, digitally signed.
  • Section 155 bars anyone from obtaining or holding a second DIN.
  • DIR-3 KYC moved from annual to once every three years from 31 March 2026, so compliant directors next file by 30 June 2028.

How does a foreign director get a DIN?

Usually inside the incorporation form, so most foreign founders never file a separate DIN application.

If you are a director of a new subsidiary, your DIN comes through SPICe+ along with the company itself. If you’re joining an existing Indian company, you file DIR-3, and a director, CEO, CFO or company secretary of that company verifies it digitally.

Foreign nationals face more paperwork. An attested passport copy is mandatory as identity proof, and PAN is optional. Documents are usually certified by the Indian embassy or a notary in your home country, according to MCA’s DIN process page.

So start the document chase early. Attestation abroad takes time.

You will also need a Digital Signature Certificate to sign any of this.

What changed with DIR-3 KYC in 2026?

The yearly KYC ritual is gone. Since 31 March 2026, directors file DIR-3 KYC once every three financial years instead.

The change came through G.S.R. 943(E) of 31 December 2025. The catch is the 30-day update rule. Change your phone number, forget to file, and you’re out of compliance.

A deactivated DIN blocks every filing that director signs.

Do you need a DIN if you hire through an EOR?

No. Nobody on your side needs a DIN, because your team is employed by the EOR’s company, not yours.

DINs only matter once you incorporate. Then at least two directors need one, and one of them must meet the resident director rule. That is a real cost for a private limited company run from abroad. Our guide on setting up a subsidiary in India covers the director set-up in full.

What else do people ask about the director identification number?

Is DIN mandatory for all directors?

Yes. Every individual appointed as a director of an Indian company needs a DIN first. The number is personal, so it follows you across every board you join.

How long is a DIN valid?

For life. It stays with you unless it is surrendered or cancelled. Missing DIR-3 KYC can deactivate it until you file.

Can a foreigner get a DIN in India?

Yes. Foreign nationals apply through SPICe+ or DIR-3 with an attested passport and address proof. PAN isn’t mandatory for them.
