What is a liaison office in India?

Quick answer: A liaison office is a representative office a foreign company opens in India under FEMA, approved through an AD Category-I bank. It can represent the parent, promote trade and act as a communication channel, but it cannot earn income in India. The parent needs a 3-year profit record and net worth of at least USD 50,000.

  • Validity is generally 3 years, or 2 years for NBFCs and construction-development entities.
  • The AD bank can extend validity by 3 years where annual activity certificates are filed.
  • All expenses must be met from remittances by the head office.
  • An Annual Activity Certificate as at 31 March goes to the AD bank and the income-tax international taxation wing.

What can a liaison office do, and what can’t it?

It can talk. It cannot sell.

The RBI Master Direction on branch, liaison and project offices limits permitted activities to four:

  • representing the parent or group companies in India,
  • promoting export and import to and from India,
  • promoting technical or financial collaboration,
  • acting as a communication channel between the parent and Indian companies.

The bank account mirrors those limits. Credits come only from head office funds, refunds and sale of the office’s own assets. Debits are only for local expenses. So a liaison office cannot sign sales contracts, raise invoices or collect fees.

Approval runs through an application in Form FNC to an AD Category-I bank. Prior RBI approval is needed for applicants from Pakistan. It is also needed for applicants from Bangladesh, Sri Lanka, Afghanistan, Iran, China, Hong Kong or Macau seeking an office in Jammu and Kashmir, the North East or the Andaman and Nicobar Islands. Defence, telecom, private security and broadcasting also need prior approval.

Where do foreign companies go wrong with a liaison office?

By letting it drift into business.

Suppose your liaison office manager in Pune starts negotiating prices and closing deals for the parent. On paper it is still a liaison office. In practice it may now look like a fixed place of business that concludes contracts, which is the core of permanent establishment risk. Tax officers look at what the office does, not what the approval letter says.

The other trap is hiring. A liaison office can employ staff, but it then runs Indian payroll, PF, ESIC and Professional Tax itself, and many parents underestimate that monthly load for a small office.

Is an EOR a better fit than a liaison office?

Often. Especially when you want people, not a plaque.

An EOR employs your India staff on its own Indian entity. You need no FEMA approval, no Annual Activity Certificate and no head office remittances to fund local costs. Your staff can still do market research, partner support or engineering for the parent. A liaison office cannot do engineering work for the parent at all, because that is service delivery.

A liaison office still makes sense when you want an officially recognised representative presence, perhaps for regulators or trade bodies, and no Indian revenue. If you need to earn in India, look at a branch office or a wholly owned subsidiary instead. A short-term contract may fit a project office. How does Remunance support teams that would otherwise need a liaison office?

Remunance employs your India representatives directly, handles their payroll and statutory filings, and keeps their roles documented so the activity matches the structure. We have hired 1,200+ employees across 34 Indian cities this way. Our employer of record services page sets out what is covered. Discuss your India presence options with us before you file Form FNC.

What else do people ask about liaison offices?

Can a liaison office in India hire employees?

Yes. It can employ local staff for its permitted activities, and it must then meet Indian payroll and social security obligations itself.

Is a liaison office taxable in India?

It earns no income, so normally no business profits arise. It must still obtain a PAN, deduct TDS on salaries and file its Annual Activity Certificate.

How long is a liaison office approval valid?

Generally 3 years, or 2 years for NBFCs and construction-development entities. The AD bank can extend it by 3 years.
